[cabfpub] Possible Language for Lightweight IPR Agreement

For your consideration, here are two examples of a Lightweight IPR Agreement
for participants who are not members of the CABF, although we might be able
to use these for members as well, but they reduce some of the legalese that
some of you may have found important.  Also, note that the agreement is
easier to approach when the signature line is placed right after the key
provisions and before those that only apply to organizations.

CAB Forum IPR Policy Agreement

This Agreement is binding on all who participate in discussions of the
Certification Authority/Browser Forum (CABF).  As a condition of
participating in such discussions, and in consideration of the mutual
promises herein, Participant, even if not currently a Member of CABF, agrees
to all obligations of Participants found in the CABF's Intellectual Property
Rights Policy v.1.0 ("IPR Policy"), currently
https://www.cabforum.org/IPR_Policy_V1.pdf, incorporated herein by
reference.

of all Affiliates; (b) it has no Affiliates; or (c) each Affiliate has
executed and delivered a signed Agreement to CABF, and (3) Participant
agrees to enforce this Agreement's terms as to any of such Affiliate's
Intellectual Property, including such terms as may properly be changed by
CABF notice to Participant in accordance with the IPR Policy and under this
Agreement.

Group (CSWG) of the Certification Authority/Browser Forum (CABF) who are not

consideration of the mutual promises herein, Participant, not currently a
Member of CABF, agrees to all obligations of Participants found in the
CABF's Intellectual Property Rights Policy v.1.0 ("IPR Policy"), currently
https://www.cabforum.org/IPR_Policy_V1.pdf, incorporated herein by
reference.   [Possible additional language:  "The scope of any CABF
Royalty-Free License arising from participation in the CSWG shall be limited
to Essential Claims encompassed in the Final Baseline Requirements for the
Issuance and Management of Code Signing Certificates."]
